Node Labs Terms of Service
Effective date: October 13, 2026
These Terms of Service (the "Terms") are a binding agreement between you and Node Labs Ai LLC, doing business as Node Labs ("Company," "we," "us," or "our"), 2810 N Church St STE 90785, Wilmington, DE 19802. By purchasing, accessing, or using any of the Services, or by clicking to accept these Terms, you agree to these Terms. If you do not agree, do not purchase or use the Services. If you accept these Terms on behalf of a business or other organization, you represent that you are authorized to bind it, and "you" and "Client" mean that organization.
IMPORTANT: Section 21 requires most disputes to be resolved by binding individual arbitration, waives jury trials and class actions, and explains how to opt out. Section 13 limits our liability, and Section 20 shortens the time to bring claims, to the extent permitted by law.
1. Definitions
In these Terms, the following capitalized terms have these meanings:
- "Company Parties" means Company, its Corporate Affiliates, and its and their respective predecessors, successors, and assigns, and each of their current and former owners, shareholders, members, managers, directors, officers, employees, independent contractors, agents, representatives, licensors, and service providers.
- "Corporate Affiliate" means any entity that, now or in the future, directly or indirectly controls, is controlled by, or is under common control with Company, including any parent, subsidiary, or sibling company. "Control" means ownership of more than 50% of the voting interests of an entity or the power to direct its management or policies, whether by ownership, contract, or otherwise.
- "Company Brands" means "Node Labs" and any other name, brand, trademark, or domain that Company or its Corporate Affiliates use to offer the Services.
- "Services" means all products, services, and content that any Company Party makes available under any Company Brand, now or in the future, including: (a) the websites at node-labs.ai and any related domains, pages, and subdomains (the "Site"); (b) the AI-Ops Audit; (c) Monthly Retainers; (d) reports, recommendations, documents, workflows, configurations, and other deliverables (the "Deliverables"); (e) software, automations, integrations, templates, and tools, including AI agents and other automated systems operated or provided by Company (the "Company Tools"); (f) AI Output (defined in Section 7); (g) email Q&A, support, and other communications; and (h) any new or modified features, products, or services, unless they are offered under separate terms.
- "AI Output" means any content, analysis, recommendation, code, configuration, or action generated, drafted, or taken in whole or in part by artificial intelligence, machine learning, or automated systems as part of the Services.
- "Client Data" means the data, documents, and other materials that you or your users submit to the Services or make available to the Services through Client-Owned Connections (defined in Section 6).
- "Order" means any checkout page, order form, invoice, or written proposal accepted by you and Company that references these Terms.
Headings are for convenience only. "Including" means "including without limitation." "Written" or "in writing" includes email.
2. Our Services
We provide AI operations ("AI-ops") consulting and related Services online, including:
- AI-Ops Audit: a one-time, written assessment of your operations and AI opportunities.
- Monthly Retainers: ongoing AI-ops support on a monthly subscription.
Service descriptions on the Site at the time of purchase, and the terms of your Order, form part of these Terms. If an Order conflicts with these Terms, the Order controls only as to price, scope, and delivery details specific to that Order.
3. AI-Ops Audit
- How it works: The audit is fully asynchronous. You complete our intake form. We prepare an AI-assisted written report, which a person on our team reviews, and deliver it by email. There are no calls or meetings.
- Price: $199, one-time. The full $199 is credited toward your first month of any Node Labs plan. The price shown at checkout applies.
- Delivery: We deliver the report within 7 business days after we receive both your payment and your completed intake form. Business days are Monday–Friday, excluding US federal holidays. If we need missing information from you, the delivery period pauses until you provide it.
- Follow-up Q&A: You get 14 calendar days of email Q&A after delivery, for reasonable questions about the report. There are no calls or meetings. Q&A does not include new analysis, implementation, or a revised report.
- Refunds: You get a full refund on request if we deliver your report late, or if we decline the work before writing the report. Otherwise, all audit sales are final and non-refundable, including once you have submitted your intake form, if you change your mind, or if you do not submit the intake form within 60 days of purchase.
4. Monthly Retainers
| Plan | Price | Entities included |
|---|---|---|
| Keep | $99/month | Up to 3 |
| Grow | $249/month | Up to 3 |
| Run | $499/month | Up to 3 |
- Extra entities: $99/month for each entity beyond 3. An "entity" is a separate business, brand, or legal company we support for you.
- Scope: Each plan includes the work described on the Site or in your Order. Work outside that scope may require a separate quote.
- Automatic renewal: Retainers renew automatically each month and are charged in advance on the same date each month until you cancel.
- Cancel anytime: You can cancel at any time through your payment account or by emailing legal@node-labs.ai. Cancellation takes effect at the end of your current billing period, and you keep access until then. We do not give refunds or credits for partial months or unused work, except where required by law.
- Price changes: We will give you at least 30 days' notice by email before a price change takes effect. If you do not cancel, the new price applies at your next renewal.
- Unused work does not roll over to the next month.
- No credits or top-ups: Plans are flat monthly prices. They include no usage credits, and there are no top-ups.
5. Payments and Chargebacks
- Processing: Payments are processed by Whop under their own terms. You authorize us and our payment processors to charge your payment method for all fees, including recurring retainer charges, until you cancel. Prices are in US dollars and exclude taxes, which you pay where applicable.
- Failed payments: If a payment fails, we may suspend the Services until all overdue amounts are paid.
- Billing disputes and chargebacks: If you believe a charge is wrong, you agree to contact us at legal@node-labs.ai and give us at least 15 days to resolve it before initiating a chargeback or payment dispute, unless doing so would cause you to lose a right under applicable law or your card network rules. If you initiate a chargeback for a charge that was authorized and for Services that were delivered or made available in accordance with these Terms, then, to the extent permitted by law: (a) we may suspend or terminate your access to the Services; (b) we may submit your Order records, intake submissions, delivery confirmations, communications, and these Terms to the payment processor to contest the chargeback; and (c) you will reimburse us for the disputed amount if the chargeback is resolved in your favor but the charge was in fact owed, plus reasonable, documented chargeback fees we incur. Nothing in this Section limits any right you have under the Fair Credit Billing Act, other applicable law, or your card issuer's rules.
6. Client-Owned Connections; Your Responsibilities
- Client-Owned Connections: Where the Services work with your software, accounts, or data sources, you connect your own tools yourself, using authorization methods you control (such as OAuth or API keys that you create, scope, and can revoke) ("Client-Owned Connections"). We do not ask for, and you must not send us, your passwords or login credentials. Our personnel do not sign in to your accounts. Any access by Company Tools occurs only through Client-Owned Connections, and only within the permissions you grant.
- Your control: You are solely responsible for (a) choosing which tools to connect and what permissions to grant, (b) reviewing and approving any action before it is taken in your systems where the Services give you that option, (c) revoking access when you no longer want it, and (d) maintaining your own backups.
- Accurate information: You will give us accurate and complete information. Our work depends on what you provide, and we are not responsible for errors resulting from inaccurate, incomplete, or outdated information.
- Rights and permissions: You represent that you have all rights, consents, and permissions needed to provide Client Data and to establish each Client-Owned Connection, and that doing so does not violate any law, contract, or third-party right.
- Sensitive data: You will not provide sensitive personal data (such as health records, payment card numbers, government ID numbers, or financial account numbers) unless we agree in writing in advance.
- Lawful use: You will use the Services lawfully, and will not resell, sublicense, or provide the Services to third parties without our written consent.
7. AI Output and Automated Tools Disclaimer
- The Services use AI tools and automated systems, including Company Tools. Audit reports are reviewed by a person before delivery. Even so, AI Output may be inaccurate, incomplete, outdated, biased, or unsuitable for your situation, and similar requests may produce different results.
- You are solely responsible for reviewing AI Output and Deliverables, for deciding whether and how to act on them, and for the consequences of those decisions, including any changes you make, or authorize Company Tools to make, in your systems. You should test changes before relying on them.
- AI Output is provided for informational purposes only and is not a substitute for your own judgment.
8. No Professional Advice; No Guarantee of Results
- No professional advice. The Services are operational and technology consulting only. Nothing in the Services is legal, tax, accounting, financial, investment, insurance, human-resources, security-certification, or other professional advice, and no Company Party acts as your attorney, accountant, financial adviser, or fiduciary. Consult a qualified, licensed professional before making decisions in those areas.
- No guarantee of results. We do not promise or guarantee any particular outcome, including any savings, revenue, efficiency, growth, compliance status, or performance. Examples, estimates, case studies, and projections are illustrative only.
9. Confidentiality and Client Data
- Your data stays yours. As between you and Company, you own Client Data.
- Confidentiality: We keep Client Data confidential and use it only to provide, secure, and support the Services for you and as described in our Privacy Policy. We share it only with Company Parties and service providers who need it to perform the Services (such as AI model providers, payment processors, email providers, and hosting providers like Vercel), under confidentiality or data-protection obligations.
- No model training: We do not use your Client Data, including in de-identified form, to train or fine-tune AI models, and we choose AI provider settings that do not allow providers to train on it, unless we tell you otherwise in writing and you agree.
- Exceptions: Confidentiality obligations do not apply to information that is or becomes public through no fault of ours, that we already knew, that we received lawfully from someone else without a duty of confidentiality, or that we independently developed without using Client Data. We may disclose Client Data where required by law or legal process; where legally allowed, we will notify you first.
- Aggregated and de-identified insights: We may create and use aggregated or de-identified statistics derived from the Services that do not identify you, your company, or any individual (for example, "most clients use 6–10 SaaS tools"), for any lawful purpose, subject to the no-training commitment above and our Privacy Policy. We will not attempt to re-identify such data.
- Opt-in feedback: If the Services offer an option to share anonymized feedback derived from your use, we will share it with us only if you opt in and approve it, as described in our Privacy Policy.
10. Intellectual Property
- Company materials. The Company Parties own and retain all right, title, and interest, including all intellectual property rights, in and to the Services, Company Tools, Company Brands, and all methods, processes, frameworks, templates, prompts, checklists, workflows, models, software, know-how, and other materials used to provide the Services, together with all improvements and derivatives of them, whether created before, during, or after your engagement (the "Company Materials"). Deliverables may incorporate Company Materials.
- Your license to Deliverables. Subject to your payment in full and compliance with these Terms, Company grants you a non-exclusive, non-transferable (except with a permitted assignment of these Terms), perpetual license to use, copy, and modify the Deliverables prepared for you, including any Company Materials embedded in them, solely for the internal business purposes of you and the entities covered by your Order. You may not sell, sublicense, publish, or distribute Deliverables or Company Materials as a product or service, or use them to build a competing service, without our written consent.
- Feedback. If you provide suggestions, ideas, or other feedback about the Services ("Feedback"), you grant the Company Parties a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, and commercialize the Feedback for any purpose without obligation to you. Feedback does not include Client Data, and this license does not permit us to disclose your identity or your Client Data.
- Reservation. All rights not expressly granted in these Terms are reserved by the Company Parties.
11. Affiliate Program and Disclosures
- Affiliate Partners. We run an affiliate program. Program participants ("Affiliate Partners") earn a 20% commission on qualifying purchases they refer. If you reached us through an Affiliate Partner's link or recommendation, that person may be paid for the referral. This does not change your price.
- Affiliate Partners are independent third parties, not our employees, agents, or Corporate Affiliates, and cannot make promises or statements on our behalf.
- Affiliate Partners must clearly disclose their relationship with us, follow FTC endorsement rules, and not use spam or misleading claims. Affiliate terms are provided on the Node Labs affiliate program page on Whop and apply to Affiliate Partners.
- We may recommend third-party tools. If we earn a commission from any recommendation, we will say so.
12. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, DELIVERABLES, COMPANY TOOLS, AND AI OUTPUT ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," AND THE COMPANY PARTIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. Without limiting the foregoing, the Company Parties do not warrant that the Services will be uninterrupted, secure, or error-free, or that AI Output or Deliverables will be accurate, complete, or achieve any result. The Company Parties are not responsible for third-party tools, platforms, AI models, or services (including those you connect through Client-Owned Connections), or for their availability, changes, or acts. This Section does not limit the express commitments in Sections 3 and 4 (including the late-delivery refund). Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- NO COMPANY PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, under any theory of liability (contract, tort including negligence, strict liability, or otherwise), even if advised of the possibility of such damages.
- THE TOTAL AGGREGATE LIABILITY OF ALL COMPANY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE LESSER OF (A) THE FEES YOU ACTUALLY PAID TO COMPANY FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, OR (B) US $100.
- These limits apply even if a remedy fails of its essential purpose, and they are an essential basis of the bargain between you and Company.
- These limits do not apply to (a) any refund owed to you under Section 3, (b) liability for fraud, gross negligence, or willful misconduct, (c) liability for death or personal injury caused by negligence, or (d) any other liability that cannot be limited or excluded under applicable law.
14. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the Company Parties from and against all third-party claims, demands, and proceedings, and all resulting losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to: (a) Client Data, or your provision of it; (b) your Client-Owned Connections and the permissions you grant; (c) your use of, reliance on, or implementation of the Services, Deliverables, or AI Output, including any decision you make or action you approve or take; (d) your breach of these Terms or violation of any law or third-party right; or (e) any dispute between you and a third party, including your customers, employees, or vendors. This obligation does not apply to the extent a claim results from a Company Party's fraud, gross negligence, or willful misconduct. We may control the defense of any indemnified claim at your expense, and you will not settle any claim that imposes an obligation on, or admits fault by, a Company Party without our prior written consent.
15. Release
To the fullest extent permitted by law, you release the Company Parties from all claims, demands, and damages, known or unknown, arising out of or relating to: (a) your decisions about whether and how to use or implement any Deliverable or AI Output; (b) actions taken in your systems that you approved or that were within the permissions you granted through Client-Owned Connections; (c) the acts, omissions, availability, or changes of any third-party tool, platform, AI model, or service; and (d) disputes between you and any third party, including any Affiliate Partner. This release does not apply to claims arising from a Company Party's fraud, gross negligence, or willful misconduct, to Company's express obligations under Sections 3 and 4, or to any claim that cannot be released under applicable law. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law of any other jurisdiction to the same extent.
16. Your Right to Post Reviews
Nothing in these Terms restricts your right to post honest reviews, ratings, or other communications about the Services, the Company Parties, or your experience, or imposes any penalty or fee for doing so. This includes your rights under the Consumer Review Fairness Act (15 U.S.C. § 45b). You remain responsible for not disclosing others' confidential information or making unlawful statements.
17. Right to Refuse Service; Suspension and Termination
- Refusal. We may decline any order or engagement for any lawful reason, including capacity, fit, or risk. If we decline after you have paid, we will refund the amount paid for that order in full.
- Suspension or termination by us for cause. We may suspend or terminate your access to all or part of the Services, with or without notice, if you breach these Terms, fail to pay, initiate a chargeback described in Section 5, use the Services unlawfully or in a way that creates risk or liability for any Company Party, or if required by law.
- Termination by us for convenience. We may stop providing any Service or terminate these Terms for any other reason on written notice. If we do, we will refund (a) the full audit price if your audit report has not been delivered, and (b) a pro-rated share of any prepaid retainer fees for the period after termination.
- Termination by you. You may cancel retainers as described in Section 4.
- Effect. On termination, your right to use the Services ends, but your license to Deliverables you have paid for in full continues under Section 10, and amounts owed for Services already provided remain payable.
18. Survival
Sections 1, 5 (as to amounts owed and chargebacks), 6 (as to your representations), 7, 8, 9, 10, 12, 13, 14, 15, 16, 17 (Effect), 18, 19, 20, 21, 22, and 23, and any other provision that by its nature should survive, survive any termination or expiration of these Terms.
19. Changes to These Terms or the Services
- We may modify these Terms by posting the updated version on the Site with a new effective date. For material changes, we will give you at least 30 days' notice by email before they take effect. Your continued use of or payment for the Services after a change takes effect means you accept it. If you do not agree, you may cancel before the change takes effect.
- Changes do not apply to audits already purchased, to a retainer billing period already paid, or to any dispute arising, or claim filed, before the change takes effect. Any change to Section 21 will not apply to a dispute of which we had actual notice before the change.
- We may modify, add, or discontinue features of the Services at any time, provided we do not materially reduce the core Services you have already paid for during the paid period.
20. Time Limit to Bring Claims
To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arises, or it is permanently barred. If applicable law does not permit this period, the claim must be filed within the shortest period that law permits.
21. Disputes: Arbitration and Class Action Waiver
- Informal resolution first. Before starting any arbitration or court proceeding, you and we each agree to send the other a written notice describing the dispute and the relief requested (to us at legal@node-labs.ai; to you at the email on your account) and to try in good faith to resolve it informally for 30 days. Any limitations period is tolled during this 30-day period.
- Binding arbitration. If the dispute is not resolved, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and any Company Party, including the formation, scope, validity, or enforceability of this Section (each, a "Dispute"), will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you are an individual using the Services primarily for personal, family, or household purposes, and otherwise under its Commercial Arbitration Rules. The arbitrator, not a court, decides all questions of arbitrability, except as stated in the Class Action Waiver paragraph below. The arbitration will take place in New Castle County, Delaware, or by video, at the claimant's election, and judgment on the award may be entered in any court with jurisdiction. Fees are allocated under the applicable AAA rules.
- Class action and jury waiver. YOU AND COMPANY MAY BRING CLAIMS AGAINST EACH OTHER (AND YOU AGAINST ANY COMPANY PARTY) ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate the claims of more than one person or award relief to anyone other than the individual party. A court, not an arbitrator, decides any dispute about the enforceability of this paragraph.
- Mass filings. If 25 or more similar demands for arbitration are filed against a Company Party by or with the assistance of the same law firm or coordinated group, they will be administered in batches of up to 25 under the AAA's mass-arbitration procedures, and the parties will cooperate in good faith to resolve them efficiently.
- Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, or (b) seek injunctive or other equitable relief in court to stop actual or threatened infringement or misuse of intellectual property or confidential information. If any claim for public injunctive relief cannot lawfully be arbitrated, that claim will be severed and heard in court after the arbitrable claims are decided, and stayed until then.
- 30-day opt-out. You may opt out of this Section 21 by emailing legal@node-labs.ai within 30 days after you first accept these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
- Severability. If the Class Action and Jury Waiver paragraph is found unenforceable as to a Dispute, this Section 21 (other than the jury waiver, to the extent enforceable) will not apply to that Dispute, which will proceed in the courts listed in Section 22. If any other part of this Section 21 is found unenforceable, the rest remains in effect.
- Company Parties. Every Company Party may enforce this Section 21.
22. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, and Section 21 is governed by the Federal Arbitration Act. Subject to Section 21, any court proceeding will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you and we consent to their personal jurisdiction.
23. General
- Electronic communications. You consent to receive notices, disclosures, agreements, receipts, and other communications from us electronically, including by email and by posting on the Site, and agree that they satisfy any legal requirement that such communications be in writing. You may withdraw this consent by emailing legal@node-labs.ai, which may require us to end the Services. You are responsible for keeping your email address current. This consent does not include text messages or calls, which require separate consent.
- Notices. We send notices to the email associated with your account or Order; notices are effective when sent. Send notices to us at legal@node-labs.ai.
- Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent; any attempt to do so is void. We may freely assign or transfer these Terms, in whole or in part, without your consent, including to any Corporate Affiliate or in connection with a merger, acquisition, reorganization, financing, or sale of all or part of our business or assets. These Terms bind and benefit the parties and their permitted successors and assigns.
- Subcontractors. We may use Company Parties, independent contractors, and service providers to perform the Services, and we remain responsible for our obligations under these Terms.
- Force majeure. No Company Party is liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, government action, power or internet failures, cyberattacks, or outages, changes, or discontinuation of third-party platforms, AI models, hosting, or payment services. Delivery deadlines (including the 7-business-day audit delivery period) are extended for the duration of the event. If a force majeure event prevents delivery of an audit for more than 30 days, either party may cancel that audit and you will receive a full refund.
- Independent contractors. Company is an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship.
- Third-party beneficiaries. The Company Parties are intended third-party beneficiaries of Sections 7, 8, 10, and 12 through 22 and may enforce them. Otherwise, there are no third-party beneficiaries of these Terms.
- Entire agreement. These Terms, your Order(s), and our Privacy Policy, together with any terms incorporated by reference, are the entire agreement between you and Company about the Services and supersede all prior or contemporaneous understandings. No purchase order or other terms you provide will apply, even if accepted.
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full effect.
- No waiver. Our failure or delay in enforcing any provision is not a waiver of it.
- Construction. These Terms will be interpreted according to the plain meaning of their words, and the provisions limiting liability are to be enforced to the fullest extent permitted by law.
